Primary Purpose of this Position:

The Vice President, Corporate and Securities & Assistant Secretary works closely with the Senior Vice President, Chief Legal Officer & Secretary providing legal advice and support on a wide range of securities laws and corporate governance matters, including public company disclosure and compliance, SEC and NYSE filings, Board and committee materials, proxy statements and shareholder meetings, general corporate shareholder services, M&A and other areas of responsibility. Ongoing responsibilities include reviewing, advising and leading preparation of the Company's public disclosure documents.
 
What will you be responsible for?

  • Supports preparation of Board and committee materials, presentations, agendas, resolutions and minutes 
  • Advises the Board and senior executives on projects and issues relating to securities laws compliance, shareholder services and corporate governance; manages and directs outside counsel regarding same
  • Independently coordinates, prepares and oversees filing of a broad array of disclosure documents, including Forms 10-K, 10-Q and 8-K, annual proxy statement, sustainability reports, registration statements and NYSE filings, as well as preparation for and coordination of the annual meeting of shareholders and related activities
  • Prepares Section 16 filings (to be brought inhouse from outside counsel)
  • Proactively and independently monitors and advises senior management executives, compensation executives, finance professionals and others on applicable laws, rules and regulations including SEC and NYSE issues and regulations, as well as corporate governance matters
  • Works with senior executives, managers and officers to assure the completeness and accuracy of public filings and disclosures
  • Proactively monitors and advises on appropriate course of action for changes in market activities, laws, rules, regulations, listing standards, shareholder engagement, proxy advisory firm guidelines, and corporate governance practices 
  • Assures accurate and compliant corporate governance activities including overseeing corporate governance website, coordinating periodic updates to committee charters and governance guidelines, and ensuring compliance with NYSE listing standards 
  • Oversees corporate development activities, credit facilities and capital markets transactions
  • Serves as primary contact in legal department for finance, treasury and tax
  • Serves as primary contact in legal department for Company’s executive compensation reporting
  • Serves as primary contact in legal department for Company’s ESG reporting
  • Provides legal advice and support with respect to subsidiary structure and management 
  • Supports litigation preparation, liability management and risk mitigation
  • Supports other projects as requested from time to time by the Chief Legal Officer
  • Manages other legal professionals including team supporting various aspects of the foregoing functions and legal operations

 
What are we looking for?

  • Must have obtained Juris Doctor Degree
  • 12 to 15 years of experience with at least 10 years of securities experience
  • Be a member of at least one state bar.
  • Experience working with and advising the Board and senior business leaders
  • Demonstrated ability to build positive relationships with the Board, senior management and other functional groups and to positively influence outcomes
  • Broad and deep expertise in corporate and U.S. securities laws, corporate governance and board governance matters, including best practices.  Experience with data privacy is a plus. 


 

Compensation & Benefits:

  • This role is based in Colorado and requires regular in-person engagement by working on-site for four (4) or more days per work week (with core collaboration days of Tuesday, Wednesday and Thursday).
  • Hiring Salary Range: $240,000 - $300,000. Salary to be determined by the applicant’s education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data.)
  • This role will be eligible to participate in the annual incentive compensation plan.
