Position overview:
The Company Secretary (CS) is responsible for ensuring full compliance with statutory, legal, and regulatory requirements applicable to the organization. The role ensures effective corporate governance, supports the Board of Directors, manages secretarial records, ensures timely filings under the Companies Act, 2013 and related laws, and support corporate decision making.
The Company Secretary acts as a key link between the Board, senior management, regulators, auditors, and stakeholders. The role also oversees legal compliance, contract management, risk mitigation, and supports corporate initiatives such as mergers, expansions, and statutory audits.
Ensures that the company operates with the highest standards of governance, transparency, and ethical practices.
Your key responsibilities include:
Corporate Governance & Board Management
- Organize and document Board, Committee, and General Meetings as per Companies Act, 2013.
- Prepare agendas, notices, resolutions, and supporting papers.
- Maintain statutory registers and minutes (physical/electronic).
- Advise Board on governance, compliance, corporate responsibilities & secretarial practices.
- File statutory returns (AOC‑4, MGT‑7, DIR‑3 KYC, MSME, etc.) on time.
Statutory & Regulatory Compliance
- Ensure compliance with Companies Act, FEMA regulations, SEBI regulations (if applicable) etc
- Liaise with ROC, MCA, RBI, SEBI, and other regulators.
- Track legal changes and guide management on required actions.
- Manage CSR compliance, documentation, and committee support.
Legal & Contract Management ( if required )
- Draft, review, and vet contracts, vendor agreements, NDAs, and service/purchase agreements.
- Maintain contract repository and manage renewals.
- Support legal matters, disputes, arbitration, in consultation with the Legal team.
Secretarial & Documentation Control
- Maintain statutory registers (Members, Directors, Charges, Contracts, etc.).
- Manage share certificates, transfers, and related records.
- Handle loan/charge documentation and coordinate with banks.
Risk Management & Internal Controls
- Identify compliance risks and implement mitigation measures.
- Support internal, statutory, and secretarial audits.
- Develop compliance checklists, SOPs, and internal control systems.
- Based on the company’s framework of Compliance Calendar - follow-up with respective teams for the confirmation of compliance of the Applicable Laws.
- Managing the Internal Compliance tool of the Company & preparing the monthly compliance chart.
- Providing the Financial Impact assessment of Non-Compliance of other corporate Laws to the Board.
- Review of Organization Approval Matrix and assessing the implementation of the Matrix and its functionality.
Stakeholder Management
- Act as primary contact for shareholders, regulators, auditors, and authorities.
- Support investor relations (if applicable).
- Coordinate with Finance, HR, Operations, EHS, and Procurement Teams for organization-wide compliance.
Corporate Strategy & Special Projects
- Support M&A, JV, restructuring, and strategic initiatives.
- Draft policies, charters, and governance frameworks, in co-ordination with the Legal Team.
- Assist with expansion projects, plant registrations, and regulatory approvals.
Other Responsibilities
- Support insurance renewals and claims.
- Maintain confidentiality and be available during audits, inspections, and urgent compliance matters.
What are we looking for?
- Qualified Company Secretary (ACS / FCS) from ICSI.
- Law Degree (LLB).
- 6- 8 years of experience in secretarial and legal compliance roles in a manufacturing / engineering / industrial organization.
- Experience in handling Board meetings, statutory filings, and corporate governance.
- Exposure to contract management, legal documentation, and regulatory interactions.
- Experience in managing compliance for multi‑plant operations preferred.
- Strong knowledge of Companies Act, 2013, FEMA regulations, Labour Laws, and industrial regulations, and all applicable Corporate Laws.
- Legal and regulatory compliance expertise.
- Excellent drafting, documentation, and communication skills.
- High integrity, confidentiality, and ethical judgment.
- Ability to manage multiple stakeholders and deadlines, and advice on corporate restructuring & governance.
- Proficiency in MCA portal, e‑filings, and MS Office.
- Strong analytical and problem‑solving skills.
- English (Proficient).
- Local language (preferred).
